1. Agreement to these Terms

These Terms of Service (the “Terms”) form a binding agreement between you (the “Customer”, “you”) and MyCO2 Suite (“MyCO2 Suite”, “we”, “us”). By creating an account, generating an API key, or otherwise accessing the MyCO2 Suite API and related services (together, the “Service”), you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you confirm you are authorised to bind that organisation.

2. Definitions

  • API — the MyCO2 Suite application programming interface and related endpoints, tools and protocols (REST, MCP, A2A, ACP).
  • Emission Factors — the individual carbon-intensity values and their metadata (methodology, source, licence, gas basis, GWP version) returned by the Service.
  • Compilation — our curated, normalised, de-duplicated and methodology-stamped database of Emission Factors, together with the resolution logic that selects and returns them.
  • Output — the responses returned by the API to your requests, including calculated CO₂e figures, the underlying Emission Factor used, and the accompanying metadata.
  • Source Licence — the licence under which a third-party data source publishes an Emission Factor (e.g. Creative Commons BY 4.0, CC BY-SA 4.0, Open Government Licence, Etalab Open Licence, government PSI, or public domain).
  • Pay-per-call (x402) — access to the Service without an account or API key, where each request is paid for individually in USDC (via the x402 protocol) at the time of the call.

3. Accounts & API keys

You access the Service using an API key issued to your account. You are responsible for keeping your API key confidential and for all activity that occurs under it. Notify us promptly at admin@myco2suite.io if you believe your key has been compromised; you can rotate your key at any time from your dashboard. You must provide accurate account information and must not share a single key across separate organisations.

Alternatively, you may access the Service without an account or API key on a pay-per-call basis, by paying for each request as described in Section 4. Where you use pay-per-call access, references in these Terms to your “account” or “API key” do not apply; you are instead responsible for the wallet and payment authorisation used to make each call.

4. Plans, quotas & fair use

The Service is offered on the plans described on our pricing page. Each plan includes a monthly request allowance (the “Quota”). Each request to any endpoint counts as one call; batch requests count one call per item; both successful and error responses count toward your Quota. We enforce Quotas and reasonable rate limits on the server; requests beyond your Quota may be rejected or billed as overage at the applicable pay-as-you-go rate.

Plan tiers grant the following use rights:

  • Sandbox (free): for evaluation, development and testing only — not for production or commercial deployment.
  • Starter, Pro, Scale, Enterprise (paid): a licence to use the Service and Output in your production and commercial applications, subject to Section 6 and Section 7. Pro and above additionally include the commercial assurances (warranty and indemnity) described in Sections 9 and 10.

Pay-per-call (x402). In addition to the plans above, the Service may be accessed on a pay-per-call basis with no account, key, subscription or Quota. Each request is priced individually (see the pricing page) and paid at the time of the call. Pay-per-call grants a licence to use the resulting Output in your production and commercial applications (Section 6); however, the Service and Output are provided to pay-per-call customers on an “as is” basis (Section 9) and do not include the performance warranty or the indemnity available to paid-plan subscribers (Sections 9 and 10).

5. Billing & payment

Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe. Fees are stated exclusive of any applicable taxes, which you are responsible for. Subscriptions renew automatically until cancelled; you may cancel at any time from the billing portal, and cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable. We may change plan pricing on reasonable notice; changes apply from your next renewal.

Pay-per-call settlement. Pay-per-call (x402) requests are paid at the time of the call in USDC on the Base network, through a third-party payment facilitator. On-chain payments are final and, except where required by law, non-refundable. You are responsible for any taxes applicable to your use.

6. Licence to use the Service

Subject to these Terms and your plan, we grant you a non-exclusive, non-transferable, worldwide licence during your subscription to access the API and to use the Output — including embedding CO₂e figures and their metadata into your own products, reports and workflows.

What this licence covers. The licence is over our intellectual property and service: (a) the Compilation (our curation, normalisation, resolution logic and methodology layer, protected as a database), (b) the API software, and (c) the commercial assurances we add by contract. This is the value you pay for.

What it does not do. We do not claim ownership of, and do not purport to sub-licence, the underlying third-party data. Individual Emission Factor values are factual data and are published by their sources under their own Source Licences. Nothing in these Terms grants you fewer or greater rights in that underlying data than the relevant Source Licence already provides, and we make no claim of exclusivity over any openly licensed Emission Factor.

Pay-per-call. For pay-per-call (x402) access there is no subscription; instead, the licence in this Section attaches to each paid request and to the Output it returns, and continues to apply to Output you have lawfully paid for.

7. Emission-factor data & attribution

We ingest Emission Factors only from sources whose Source Licence permits commercial reuse (for example CC BY, CC BY-SA, Etalab Open Licence, government PSI frameworks, or public-domain national inventories). We do not use non-commercial or all-rights-reserved data. The source and licence of every Emission Factor are published on our data page and returned in the source, licence and licence_url fields of each API response.

Attribution (your obligation). Certain Source Licences — notably Creative Commons BY and BY-SA — require attribution to the original source. Because these obligations attach to the data itself, they pass through to you. Where you publish, redistribute or externally report figures derived from the Output, you must preserve and reproduce the source and licence information we provide with each factor. We give you everything needed to do so on every response.

ShareAlike factors. Some Emission Factors are published under CC BY-SA (ShareAlike) Source Licences. We do not, and cannot, make those specific factors exclusive or restrict your onward sharing of them beyond what their Source Licence requires; your use of those factors remains governed by the applicable CC BY-SA terms.

8. Acceptable use

You must not: (a) attempt to circumvent Quotas, rate limits, authentication or billing; (b) resell or redistribute bulk access to the Compilation as a substitute for the Service (i.e. scraping the database to recreate a competing dataset), as distinct from using the Output within your own applications; (c) use the Service unlawfully or to infringe third-party rights; (d) probe, scan or test the security of the Service without our written consent; or (e) misrepresent the Output as independently verified where it is not. We may suspend access for material or repeated breach.

9. Warranties & disclaimers

Sandbox / free tier. The free Service is provided “as is” and “as available”, without warranty of any kind.

Paid tiers. We warrant that the Service will perform materially in accordance with our documentation, and that Emission Factors are sourced and reproduced faithfully from their stated sources with the methodology, gas basis and GWP version we disclose. However, Emission Factors are estimates. We do not warrant that any figure is fit for a particular regulatory filing or that it is free from source-level error, and the Output does not constitute professional, legal or financial advice. You are responsible for determining whether a given figure is appropriate for your intended use, and in all cases you use the Service and Output at your own risk.

Pay-per-call (x402). Pay-per-call access is provided on the same “as is” and “as available” basis as the free tier, without the paid-tier warranty above.

10. Indemnification

For customers on a paid plan, and subject to the limits in Section 11, we will defend and indemnify you against third-party claims to the extent they arise from our infringement of that third party’s intellectual-property rights in the Compilation or API software, provided you notify us promptly and allow us to control the defence. This indemnity does not extend to the underlying openly licensed data (which is governed by its Source Licences), to your misuse of the Output, or to your failure to meet an attribution obligation under Section 7. For the avoidance of doubt, pay-per-call (x402) customers are not on a paid plan for the purposes of this Section and are not covered by this indemnity.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses, or for loss of profit, revenue or data. Our total aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. These exclusions, the fee cap and the “as is” disclaimers in Section 9 apply to all use of the Service, including the free tier and pay-per-call (x402) access; where you have paid us no fees in that period, our aggregate monetary liability under that cap is correspondingly limited to zero. Nothing in these Terms excludes liability that cannot be excluded by law (including for death or personal injury caused by negligence, or for fraud).

12. Intellectual property

We retain all rights, title and interest in the Compilation, the API software, our trade marks and our documentation. You retain all rights in your own applications and data. No rights are granted except as expressly set out in these Terms.

13. Term & termination

These Terms apply for as long as you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these Terms, non-payment, or where required by law. On termination, your right to use the Service and Output ceases, save that figures already lawfully embedded in your finalised reports before termination may continue to be used, subject to any surviving Source Licence attribution obligations.

14. Changes to the Service or Terms

We may update the Service, including the Compilation, on an ongoing basis; changes are additive where possible, and each API response records the dataset release that produced it. We may amend these Terms on reasonable notice (for material changes, by email or dashboard notice). Continued use after changes take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
